1. Who we are
These terms govern your use of verify.junlan.tax and any verification, audit or notarization services provided by Hangzhou Junlan Compliance Technology Co., Ltd. ("we", "us").
2. What we do
We provide independent factual research on Chinese companies: business registration data, shareholder and related-party structures, litigation and administrative records, qualification and tax-related risk indicators, and — where you request it — on-site factory audits and notarization of our findings.
3. Scope and limits of our reports (important)
Our reports are a risk assessment based on:
- publicly registered information available as of the date of the report;
- information you supply to us; and
- where applicable, our own on-site observations as of the date of the visit.
Our reports are not:
- legal advice, investment advice, or a guarantee of any transaction outcome;
- a credit report or a consumer reporting agency product;
- assurance that a counterparty will perform, deliver, or remain solvent.
A clean report means we found no adverse indicators in the sources checked on the date of the report. It is not a warranty about the future. Third-party data sources may contain errors or delays that are outside our control.
4. Your responsibilities
You must provide accurate information about the subject company, and you are responsible for your own commercial decisions. Where an on-site audit is requested, you warrant that you have a legitimate business reason for the verification.
5. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or in connection with any report or service is limited to the fees you actually paid us for that engagement. We are not liable for indirect, incidental, special or consequential losses, including lost profits, lost shipments or lost business opportunities.
Nothing in these terms limits liability that cannot be limited by law.
6. Confidentiality (mutual)
We keep your enquiry and identity confidential and will not contact or disclose your interest to the subject company without your consent. You agree not to publish or redistribute our reports to third parties without our written permission, other than to your own professional advisers or a court or authority of competent jurisdiction.
7. Fees and payment
Fees are agreed in writing before work begins. Work starts after payment is received, unless we agree otherwise in writing.
8. Cancellation and refunds
Once database research or an on-site visit has begun, fees are non-refundable except where we fail to deliver within the agreed time frame through our own fault.
9. Notarization
Where you request notarized verification, the notarization is performed by a licensed notary office independent of us. We arrange it; we do not control the notary's exercise of statutory discretion.
10. Governing law and disputes
These terms are governed by the laws of the People's Republic of China. Disputes shall be resolved by the competent courts of Hangzhou, China, unless we agree on arbitration in writing.
